These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Simplarity ("Company," "we," "us," or "our") regarding your use of our website, services, and automation solutions. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, you may not access or use our services.
Simplarity provides AI systems, automation consulting, custom software development, and operational support services for service businesses including but not limited to:
Specific services will be provided pursuant to separate written agreements, proposals, or statements of work ("SOW"). In the event of any conflict between these Terms and a separately executed SOW, the SOW shall control with respect to the services described therein.
All content, materials, software, systems, and intellectual property created or provided by Simplarity ("Deliverables") remain the property of Simplarity unless otherwise specified in a written agreement. Upon full payment, clients receive a license to use Deliverables for their business operations as specified in the applicable SOW.
You retain ownership of your business data, content, and materials provided to us. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering services to you.
Payment terms will be specified in each SOW. Unless otherwise stated, invoices are due within 30 days of issuance. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue balances.
Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of the business relationship. This obligation survives termination of services and continues for a period of three (3) years.
We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. However, EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN SOW, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that our services will be uninterrupted, error-free, or that any results obtained through automation systems will meet your specific business objectives.
TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, IN NO EVENT SHALL SIMPLARITY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability for any claims arising out of or related to these Terms or our services shall not exceed the amount paid by you to Simplarity in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Simplarity and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services, your violation of these Terms, or your violation of any rights of another party.
These Terms remain in effect while you use our services. Either party may terminate a service engagement as specified in the applicable SOW. Provisions regarding confidentiality, intellectual property, limitation of liability, and dispute resolution survive termination.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and the parties hereby consent to personal jurisdiction and venue therein.
Prior to initiating any legal action, the parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, the parties agree to submit to non-binding mediation before a mutually agreed mediator in Los Angeles County, California.
We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.
Entire Agreement: These Terms, together with any applicable SOW, constitute the entire agreement between you and Simplarity regarding our services.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
